As a corporate attorney for over thirty years, I have counseled small and large corporations on a variety of critical issues. My goal is to help you every step of the way. From the fist steps you take to form your business to your on-going contractual needs, from business re-structuring to succession and sale, I provide sound and experienced business advice, always tailored to what you wish to achieve.
Business Formation
Whether you wish to start a sole proprietorship, C corporation, S corporation, partnership, limited liability company, limited liability partnership, non-profit corporation or franchise, I spend time learning about your needs and will counsel you on the form of entity that is right for your needs.
Once you decide on a structure, I will draft and file all required documents. I will also counsel you on how to proceed with your business, when to retain an accountant, what to ask, when to open bank accounts, secure credit, and I will generally address what you need to know to get your business started.
Day-to-Day Business Operations
Once your business is up and running, I can help you with a full range of services, including drafting and reviewing contracts, negotiating with vendors, drafting and negotiating commercial leases, drafting independent contractor agreements, shareholder agreements, operating agreements, employee agreements, confidentiality and non-disclosure agreements.
My experience in banking and investments also allows me to assist you with your business financing needs through review and negotiation of various arrangements for your business. While mature businesses often have full-time in-house attorneys, I have served in those positions and now offer the same services to your business in a more cost-effective manner.
Business Succession and Transition
Mature businesses often face succession and transition issues. Decisions on these matters can be extremely stressful to the business owner. I help decrease the stress level by listening to the business owner and providing options on how succession planning or business transition can be accomplished.
I will help you structure the transition of your business into other hands, including those of family members. This may include the sale of a business to family members. I can help you obtain fair business valuations. Along with creating the succession structure, I help business owners create programs to teach and integrate new family members into the business.
As a business matures, it may be advisable to incorporate a new partner, structure a stock option program for key employees, or dissolve an existing partnership. At such times of transition, I can help offer options to the business owner as well as implement structures to allow for these transitions to occur smoothly.
Selling Your Business
Facing the decision of whether to sell a business can be very stressful. In addition to your need for tax expertise, facing a thorough due diligence on your business is daunting. I can help manage the due diligence process, remove the stress and structure the sale to achieve your goals.
Advice for the Board of Directors
Often, Directors are concerned about their personal liability for corporate decisions. I can help the business owner with Board relationships by counseling the Board on such matters.
In cases where corporations and Boards require specific assistance, such as creating corporate Code of Ethics or implementing an ethics committee of the Board, I am ready to assist.
Business Problem Solving: Representation at Administrative Hearings, in Court and Before Government Agencies
I work actively to protect my business clients in many areas, from representation of restaurants through zoning appeals to representation of small businesses unfairly treated by government regulators.
In many cases, small businesses are faced with difficulties that threaten their very existence. My goal is to work with clients to recognize their problems and then to create a strategy to solve them.
